1. Introduction

Welcome to The Language X®, the platform that provides educational content, courses, and other related services through our website, mobile application (where available), and other associated channels (collectively referred to as the “Platform”). These Terms and Conditions govern your use of our services, and by accessing the Platform, you agree to comply with the terms described herein.

This document applies to all users who access the Platform and, therefore, are required to read and understand these Terms before submitting any personal information or using any services provided. By submitting your personal information and using the Platform, you consent to the use and processing of such information as per our Privacy Policy.

These Terms, together with our Privacy Policy, our Refund Policy, and any written pathway, quotation, or invoice issued to you, form the entire agreement between you and The Language X. This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not require any physical or digital signature to be binding.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

• “Platform”: Refers to the website, mobile applications, and other online services provided by The Language X®, which offer educational content, courses, and other related services.
• “The Language X”, “we”, “us”, “our”: Refers to Academy of Language X Private Limited, the entity that owns and operates the Platform.
• “User” or “You”: Refers to any individual or entity accessing or using the Platform, whether registered or not, including any learner enrolled in a Program.
• “Content”: Refers to all text, graphics, images, videos, software, and any other material made available through the Platform.
• “Account”: Refers to the user registration and login credentials required to access certain parts of the Platform, where applicable.
• “Services”: Refers to all the educational content, courses, consultations, assessments, live training sessions, workshops, events, discussions, features, and other offerings provided through the Platform by The Language X.
• “Program”: Refers to any cohort or private training program, including its sessions, materials, and assessments, in which you enroll.
• “Written Pathway”: Refers to the written plan and quotation issued to you after your consultation and assessment, setting out the recommended Program, duration, intensity, schedule, and fee.
• “Third-Party Service Providers”: Refers to external companies or individuals that assist in providing the Platform’s services, including payment processors, video-conferencing providers, customer support providers, and marketing partners.
• “Personal Information”: Refers to any information that can be used to identify an individual, such as name, email address, phone number, etc.
• “Sensitive Personal Information”: Refers to financial information like credit card details, bank account information, and other payment-related data.
• “Public Forums”: Refers to any discussion boards, comment sections, groups, or other areas of the Platform where users can post content visible to others.
• “Cookies”: Refers to small pieces of data stored on a user’s device that help track preferences and enhance the user experience on the Platform.
• “Content License”: Refers to the non-exclusive, royalty-free, perpetual right granted to The Language X to use, modify, and distribute any user-submitted content as part of the Platform’s operations.

3. Acceptance of Terms

By accessing or using the Platform, you confirm that you are of legal age to enter into a binding agreement with The Language X, and that you agree to abide by all terms and conditions set forth in this agreement. If you do not agree to these Terms, you may not access or use the Platform.

These Terms and Conditions may be updated from time to time at our sole discretion. Your continued use of the Platform signifies your acceptance of the updated Terms and Conditions. We encourage you to review the Terms periodically to stay informed of any changes. Making any payment to The Language X constitutes your express acceptance of these Terms and of our Refund Policy as they stand on the date of payment.

4. Privacy Policy

Your privacy is of utmost importance to us. Our Privacy Policy, which is incorporated by reference into these Terms, outlines how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy. You are encouraged to review it carefully.

We use reasonable security practices to safeguard your personal information from unauthorized access, use, or disclosure, as required by applicable laws and industry standards. However, no security system is impenetrable, and we cannot guarantee the absolute security of your personal information.

5. Information Collection

We collect the following types of information from users:

• Personal Information: Name, email address, phone number, date of birth, city, current role, organization, and other information required for enquiries, applications, and enrollment.
• Sensitive Personal Information: Includes financial details such as credit card information or bank account details when making purchases. Payments are processed by our payment gateway; we do not store full card or bank details.
• Associated Information: This includes information you provide when participating in discussions, submitting doubts, taking tests and assessments, or interacting with any features on the Platform, together with your assessment results, attendance, and progress records.

We also use cookies and other tracking technologies to personalize your experience and improve the services we provide. By using the Platform, you agree to our use of cookies in accordance with our Privacy Policy.

6. Our Services and Enrollment

The Language X provides live online English language and communication training for adults, including consultations, assessments aligned to the Common European Framework of Reference (CEFR), cohort and private Programs, workshops, and related events. All training is delivered online.

Enrollment in a Program is subject to consultation and assessment. We may, at our sole discretion, decline or defer any application, including where our assessment indicates that your stated target cannot reasonably be achieved within the time or budget available. The Program, duration, intensity, schedule, and fee set out in your Written Pathway form part of your agreement with us.

Program descriptions on the Platform are general in nature. The Program that applies to you is the one confirmed in your Written Pathway and invoice.

7. No Guarantee of Outcomes

Language learning depends on many factors outside any trainer’s control, including your attendance, practice, prior proficiency, and personal circumstances. The Language X does not guarantee any specific result, including any CEFR level, test score or band, fluency milestone, employment, promotion, salary change, admission, or visa outcome. Any examples, statistics, or research cited on the Platform are illustrative and are not a promise of individual results.

8. Sessions, Scheduling and Attendance

• Sessions take place at the times confirmed in your schedule. You are responsible for joining on time; time lost to late joining is not extended or made up.
• A session may be rescheduled at your request only with at least 24 hours’ notice and subject to trainer availability. Sessions missed without such notice are counted as delivered.
• We may reschedule sessions, change the platform used, or assign a different qualified trainer where necessary, and will inform you in advance where reasonably possible.
• Each Program must be completed within its confirmed duration, together with any deferral permitted under our Refund Policy. Unused sessions lapse at the end of that period.
• Sessions are delivered through third-party platforms such as Google Meet, Zoom, or WhatsApp. You are responsible for a suitable device, a stable internet connection, and a working microphone and camera.

9. Recording and Confidentiality of Sessions

Live training sessions are not recorded by The Language X. Consultations and assessments may be recorded, with notice to you, for the purposes of assessment accuracy, quality assurance, and trainer development, and are handled in accordance with our Privacy Policy.

You may not record, photograph, screenshot, stream, or share any session, session link, or material, in whole or in part, or permit anyone who is not enrolled to attend or observe a session, without our prior written permission. Session links are personal to you.

10. User Obligations and Conduct

As a user of the Platform, you agree to:

• Provide accurate and truthful information during enquiry, application, assessment, and enrollment.
• Maintain the confidentiality of your account, password, and session links, and immediately notify us of any unauthorized use.
• Comply with all applicable laws while using our services.
• Treat trainers, staff, and other learners with courtesy and respect. Harassment, abuse, discriminatory remarks, intimidation, or inappropriate conduct of any kind, in sessions or in any communication, will not be tolerated.
• Refrain from posting or transmitting any harmful, offensive, defamatory, obscene, or illegal content on the Platform or in any session or group.
• Not attempt to disrupt, gain unauthorized access to, or misuse the Platform or its systems.

We may suspend or terminate your participation, without refund, for any breach of this section.

11. Non-Solicitation of Trainers

Our trainers are in-house employees and certified professionals whom we recruit, train, and schedule at significant cost. During your enrollment and for twelve (12) months after it ends, you agree not to engage, hire, or arrange private or paid training, directly or indirectly, with any trainer or staff member you were introduced to through The Language X, outside The Language X.

12. Intellectual Property

All content on the Platform, including but not limited to text, images, logos, videos, software, lesson plans, assessment materials, worksheets, and training methods, is the intellectual property of The Language X or its licensors. You are prohibited from using, copying, modifying, distributing, reselling, or creating derivative works from any content on the Platform without prior written permission from The Language X. Materials provided to you are licensed for your personal, non-commercial learning only.

You retain ownership of any content you submit to the Platform (e.g., comments, posts, reviews). By submitting content, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, and distribute that content for the purpose of operating and improving the Platform.

13. Testimonials and Feedback

We welcome feedback. With your consent, we may publish your testimonial, review, or feedback, with your name and professional details, on the Platform and in our communications. You may withdraw this consent at any time by writing to us, after which we will stop using it in new material.

14. Communications

By submitting your details, you consent to The Language X contacting you by phone call, WhatsApp, SMS, and email regarding your enquiry, application, consultation, Program, schedule, and payments, even if your number is registered on the National Do Not Call Registry. You may opt out of promotional communications at any time; service communications related to an active enrollment will continue.

15. Cookies and Tracking Technologies

We use cookies to track your preferences and to enhance your experience on the Platform. Cookies help us identify you when you log in, store your preferences, and gather data on user trends. You may choose to disable cookies through your browser settings, but doing so may affect the functionality of the Platform.

16. Service Providers and Third-Party Services

We may use third-party service providers to assist in delivering our services, including payment processing, video conferencing, customer support, and marketing. These providers may have access to your personal information, but they are obligated to maintain its confidentiality and are prohibited from using your information for purposes unrelated to the services they provide.

Third-party websites or applications that are linked to the Platform, or through which sessions are delivered, are not under our control, and we are not responsible for their availability, privacy practices, or content. Your use of them is also subject to their own terms. You are encouraged to review the privacy policies and terms of use of any third-party websites or services before engaging with them.

17. Payment and Refunds

All fees and charges for services offered on the Platform must be paid upfront, unless otherwise stated in writing. Fees are as set out in your Written Pathway or invoice and are exclusive of applicable taxes, including GST, which are payable in addition. Payment methods include credit cards, debit cards, UPI, net banking, and other digital payment options offered through our payment gateway. If there is an issue with processing your payment, your access to the services may be suspended until the issue is resolved.

Where you pay through an EMI, loan, or other financing arrangement provided by a third party, that arrangement is solely between you and the provider, and your obligations to it are not affected by your participation in, or withdrawal from, any Program. Fees paid are not affected by any later change in our published fees.

All fees are non-refundable. All transactions are final and are governed by our Refund Policy, which forms part of these Terms. Initiating a chargeback or payment dispute contrary to that policy will be contested, and access to services may be suspended while it is pending.

18. Disclaimer of Warranties

The Platform and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, The Language X disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will operate uninterrupted, error-free, or free from viruses or other harmful components, or that any defects will be corrected. We are not responsible for the accuracy, completeness, or reliability of information provided by third parties.

19. Limitation of Liability

To the fullest extent permitted by law, The Language X shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, loss of opportunity, loss of employment or income, loss of data, or any other damages resulting from your inability to use the Platform or any associated services.

We make no warranties or representations about the accuracy or completeness of the content provided on the Platform. Your use of the Platform is at your own risk, and we do not guarantee uninterrupted or error-free access to the services. In any event, the total aggregate liability of The Language X arising out of or in connection with any Service shall not exceed the fees actually paid by you for that specific Service.

20. Indemnification

You agree to defend, indemnify, and hold harmless The Language X, its affiliates, and its officers, directors, employees, trainers, and agents from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of your use of the Platform, your conduct in any session or communication, or your violation of these Terms and Conditions or of any law or third-party right.

21. Termination

We reserve the right to suspend or terminate your access to the Platform or to any Program at any time, with or without cause or notice, including for any breach of these Terms. Where termination results from your breach or conduct, no refund shall be payable. If your account is terminated, any content or information you have shared on the Platform may no longer be accessible, and we shall have no obligation to retain or return that information to you, subject to our legal obligations.

22. Public Forums

The Platform may contain forums, groups, or discussion areas where users can interact. Please be aware that any personal information or content shared in these areas may become visible to others. You are solely responsible for the information you choose to share in public forums, and we are not responsible for how others may use that information.

23. Consent and Parental Responsibility

By using the Platform, you consent to the collection and use of your personal information as described in our Privacy Policy. Our Programs are designed for adults. If you are a minor, parental or guardian consent is required for the use of the Platform. In such cases, it is implied that the parent or guardian has read and accepted the Terms, the Refund Policy, and the Privacy Policy on behalf of the minor, and accepts responsibility for the minor’s use of the Platform.

24. Force Majeure

The Language X shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, epidemics, government orders, internet or power outages, failures of third-party platforms or payment systems, cyber attacks, strikes, or civil unrest. In such cases, affected sessions will be rescheduled once the cause has ceased.

25. Grievance Redressal

If you have a complaint about our Services or the Platform, please write to our Grievance Officer: Aman Jha, Founder & CEO, Academy of Language X Private Limited, at Mail@thelanguagex.com or +91 95609 41384. We will acknowledge your complaint within 48 hours and aim to resolve it within one month of receipt. Please include your name, registered phone number, and payment reference.

26. Dispute Resolution and Governing Law

These Terms are governed by and interpreted in accordance with the laws of India. Before initiating any legal proceedings, you agree to first raise the matter with our Grievance Officer and to attempt in good faith to resolve it amicably within thirty (30) days.

Subject to the foregoing, and to any rights that cannot be excluded under applicable law, you agree to submit to the exclusive jurisdiction of the courts at New Delhi, India for any legal proceedings arising out of or relating to these Terms or the Services.

27. General

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision or of any other right.
• Assignment: You may not assign or transfer your rights or enrollment under these Terms. We may assign our rights and obligations to an affiliate or successor.
• Notices: We may give notices to you by email, WhatsApp, or SMS to the contact details you have provided, or by posting them on the Platform.
• Language: These Terms are written in English, and the English version shall prevail over any translation.

28. Updates to the Terms

We may update these Terms and Conditions periodically to reflect changes in our services or applicable laws. When we do, we will revise the “Last Updated” date at the top of the document. Continued use of the Platform after any such changes constitutes your acceptance of the updated Terms.
